These Terms of Use & Conditions ("Terms") govern your access to and use of the AMS Ducati Dallas website, including amsducati.com and any related webpages, online stores, customer accounts, services, content, communications, promotions, and transactions operated by Advanced Motorsports Ducati Dallas ("AMS Ducati Dallas," "AMS," "we," "us," or "our"). By accessing our website, creating an account, placing an order, submitting information, or otherwise using our website or online services, you agree to these Terms. If you do not agree with these Terms, please do not use the website.
1. About AMS Ducati Dallas
Advanced Motorsports Ducati Dallas is a Ducati motorcycle dealership, parts and accessories retailer, service provider, and online retailer located in Dallas, Texas, United States. AMS Ducati Dallas sells and ships certain products throughout the United States and internationally. References to Ducati, Ducati motorcycles, Ducati trademarks, product names, logos, and related intellectual property belong to their respective owners. AMS Ducati Dallas is an authorized Ducati dealer but is an independently operated business unless otherwise expressly stated.

2. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to make purchases, enter into contracts, apply for financing, or create an account through the website. By making a purchase, you represent that you have legal capacity to enter into a binding agreement. The website is intended for a general adult audience and is not directed toward children under 13.
3. Customer Accounts
Certain website features allow you to create an AMS Ducati Dallas customer account. You are responsible for maintaining the confidentiality of your username, password, and account information and for activities occurring through your account.

Website photographs may not perfectly represent actual colors or finishes because of lighting, photography, monitor settings, manufacturing changes, or other factors. Customers are responsible for confirming that a part, accessory, garment, helmet, component, or other item is suitable for their intended application before installation or use. When in doubt, please contact AMS before ordering.
5. Motorcycle Parts, Accessories and Fitment
Motorcycles and motorcycle components involve inherent risks. Certain products may require professional installation, adjustment, programming, calibration, or inspection.
Unless AMS expressly states otherwise, installation instructions, technical information, or fitment information provided through the website is general information and does not replace professional mechanical judgment. Improper installation or use of motorcycle parts or accessories may cause property damage, motorcycle failure, serious injury, or death.
Customers are responsible for following manufacturer instructions and applicable laws and for using appropriately qualified technicians when necessary. Certain racing, competition, exhaust, emissions, lighting, engine-management, or performance products may not be legal for highway use in every jurisdiction. It is the purchaser's responsibility to determine whether a product may legally be purchased, installed, registered, imported, or operated in the purchaser's location.
6. Orders
Submitting an order through the website constitutes an offer to purchase. An automated order confirmation acknowledges receipt of your order but does not necessarily constitute final acceptance.
AMS may accept, decline, cancel, or limit an order for legitimate business reasons, including product unavailability, incorrect pricing, suspected fraud, payment problems, shipping restrictions, export restrictions, typographical errors, or incorrect product information. If AMS cancels an order after payment has been captured, AMS will refund the amount paid for the canceled item or order.
Special-order merchandise may require advance payment and may be subject to separate cancellation and return restrictions.
7. Prices and Errors
Prices are displayed primarily in U.S. dollars unless otherwise stated. AMS attempts to maintain accurate pricing but reserves the right to correct typographical, technical, pricing, inventory, or other errors.
If a material pricing error is discovered after an order is submitted, AMS may contact you and provide the option to proceed at the correct price or cancel the affected item for a refund. Promotional prices and discounts may be changed or discontinued as permitted by applicable law.
8. Payment
AMS accepts payment methods made available during checkout, which may include major credit cards, PayPal, Braintree-supported payment methods, and qualifying bank-wire transactions. Payment methods may change.
Credit and debit card information may be processed by third-party payment processors. AMS does not necessarily receive or store your complete payment-card number. Your payment may initially be authorized and subsequently captured when the order is processed.
You represent that you are authorized to use any payment method submitted to AMS. Orders may be delayed or canceled when payment authorization cannot be verified.
9. Fraud Prevention
AMS reserves the right to perform reasonable fraud-prevention and transaction-verification procedures. We may request additional information when reasonably necessary to verify an order, payment method, billing address, shipping address, identity, or potentially fraudulent transaction. Orders may be refused or canceled when fraud or unauthorized use is reasonably suspected.
10. Sales Tax, VAT, Duties and Other Taxes
Taxes charged by AMS will be determined according to applicable law and the information available to us at checkout.
For international orders, the recipient may be responsible for customs duties, import taxes, value-added taxes (VAT), brokerage charges, tariffs, handling charges, customs-clearance costs, or other governmental fees imposed by the destination country. Unless expressly stated otherwise at checkout, such international charges are not included in the purchase price or shipping charge paid to AMS.
International customers are responsible for understanding the import and tax requirements of their destination country. AMS does not guarantee that a particular product can legally be imported into every country.
11. Shipping
Shipping dates and delivery estimates are estimates and are not guarantees unless expressly stated otherwise. Delivery may be affected by carriers, customs authorities, weather, transportation interruptions, supply-chain problems, manufacturer delays, governmental restrictions, or circumstances beyond AMS's reasonable control.
AMS may select an appropriate shipping carrier and service for orders qualifying for free or discounted shipping. Orders containing backordered or special-order merchandise may be held for consolidated shipment unless other arrangements are made. Additional shipping charges may apply to split shipments, oversized products, expedited services, or unusual destinations.
12. International Shipping
AMS ships eligible merchandise to numerous international destinations. The international purchaser is responsible for ensuring that products comply with the laws, standards, certifications, import requirements, vehicle regulations, emissions rules, and safety requirements applicable in the destination country.
Customs officials may open or inspect packages. AMS cannot control customs-processing times. The customer is responsible for accurately providing all information required for international shipment and customs processing.
Products may not be shipped to jurisdictions, individuals, businesses, or organizations restricted by United States export-control or sanctions laws.
13. Returns and Exchanges
AMS's current Return and Exchange Policy, as published on the website, forms part of these Terms. Unless otherwise required by law, products must satisfy AMS's return eligibility requirements, time limits, condition requirements, authorization procedures, and applicable restocking provisions.
Certain categories — including special-order merchandise, sale or closeout products, installed merchandise, electronic items, tools, chemicals, and other specified products — may be non-returnable. International returns may be restricted.
However, nothing in the AMS return policy eliminates any cancellation, withdrawal, refund, warranty, repair, replacement, or other consumer right that cannot legally be waived under the laws applicable to the customer. Consumers in certain jurisdictions, including the European Union and United Kingdom, may have statutory cancellation or withdrawal rights for qualifying distance purchases. Where mandatory consumer law provides greater rights than the AMS standard return policy, the mandatory law controls.
14. Damaged, Incorrect or Defective Products
Customers should inspect deliveries promptly. If merchandise arrives damaged, incorrect, incomplete, or apparently defective, please contact AMS as soon as reasonably possible and retain packaging and documentation.
AMS may request photographs or other reasonable evidence to assist with carrier, manufacturer, or shipping claims. Shipping damage claims may be administered through the applicable carrier or shipping-protection provider. Nothing in this section limits non-waivable statutory consumer rights.
15. Manufacturer Warranties
Products sold by AMS may be covered by warranties supplied by their respective manufacturers. Unless expressly stated in writing by AMS, AMS does not create an additional manufacturer-style warranty simply by selling a product.
AMS may assist customers with manufacturer warranty claims. Manufacturer warranty decisions remain subject to the applicable manufacturer's warranty terms and determination. Nothing in these Terms excludes warranties, guarantees, remedies, or consumer protections that cannot lawfully be excluded.
16. Motorcycle Sales
Listings for new, used, vintage, rare, collectible, or consignment motorcycles are provided for informational and sales purposes. Motorcycle availability is subject to change. A website listing, inquiry, deposit request, email communication, or online indication of availability does not by itself complete a vehicle sale.
Motorcycle purchases may require additional sales documents, identification, title documents, registration documents, disclosures, financing documents, export documents, or other legally required paperwork. Used, vintage, restored, racing, and collectible motorcycles may have characteristics consistent with their age, history, restoration status, competition use, previous ownership, or mechanical condition. Prospective purchasers are encouraged to inspect motorcycles personally or arrange an independent professional inspection before completing a purchase. Specific representations concerning a motorcycle will be governed by the final written sales documents.
17. Financing
Financing may be offered through independent banks, lenders, finance companies, or other third parties. Financing is subject to application, approval, creditworthiness, lender requirements, applicable laws, and separate lender terms.
AMS does not guarantee financing approval, rates, terms, loan amounts, or eligibility. Financial institutions may collect and process information under their own privacy notices and contractual terms.
18. AMS Pro Points
Participation in AMS Pro Points is subject to the program terms published on the AMS website. Pro Points have no cash value, are non-transferable unless expressly permitted by AMS, and may be subject to expiration dates and eligibility requirements.
AMS may modify, suspend, or terminate the program in accordance with applicable law. Points obtained through fraud, abuse, manipulation, account duplication, unauthorized transactions, or violations of program rules may be canceled. Where required by law, changes affecting previously earned points will be administered according to applicable consumer-protection requirements.
19. Product Reviews and User Content
The website may allow customers to submit reviews, photographs, comments, feedback, questions, or other material ("User Content"). You remain responsible for User Content you submit.
You agree not to submit content that is unlawful, defamatory, threatening, fraudulent, obscene, infringing, misleading, malicious, or that violates another person's privacy or intellectual-property rights.
By voluntarily submitting User Content for public display, you grant AMS a non-exclusive, worldwide, royalty-free license to display, reproduce, format, distribute, and use that content in connection with the website, products, services, marketing, and operation of AMS, subject to applicable privacy law. AMS may moderate or remove User Content where reasonably appropriate. AMS does not require positive reviews as a condition of receiving rewards. Reviews should reflect the reviewer's genuine experience.

Except for third-party materials, the website design, text, photography, graphics, logos, layout, database content, and other original website material are owned by or licensed to AMS and are protected by applicable intellectual-property laws.
You may use the website for lawful personal and commercial shopping purposes. You may not copy, scrape, reproduce, republish, sell, exploit, reverse engineer, systematically download, or commercially redistribute substantial portions of the website without authorization.
21. Ducati and Third-Party Trademarks
Ducati and related names, motorcycle models, logos, marks, and designs are trademarks or intellectual property of Ducati Motor Holding S.p.A. or its affiliated entities, as applicable. Other manufacturer names and trademarks belong to their respective owners.
Use of these marks on AMS's website is for legitimate identification, dealership, product, compatibility, and sales purposes and does not transfer ownership of those marks to AMS or website users.
22. Acceptable Use
You may not use the website to commit fraud, interfere with website security, distribute malicious software, attempt unauthorized access, impersonate another individual, harvest customer information, manipulate pricing or rewards, interfere with checkout systems, conduct automated scraping that materially burdens the site, or engage in unlawful activity. AMS may restrict access when reasonably necessary to protect customers, systems, employees, vendors, or the business.
23. Third-Party Services and Links

25. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND GENERAL WEBSITE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
AMS DISCLAIMS IMPLIED WARRANTIES RELATING TO THE WEBSITE TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED. THIS SECTION DOES NOT LIMIT EXPRESS PRODUCT WARRANTIES OR STATUTORY RIGHTS THAT CANNOT LEGALLY BE WAIVED.
26. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING SOLELY FROM USE OF OR INABILITY TO USE THE WEBSITE.
NO PROVISION OF THESE TERMS EXCLUDES OR LIMITS LIABILITY WHERE SUCH EXCLUSION OR LIMITATION IS PROHIBITED BY LAW, INCLUDING LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE CONSUMER-PROTECTION LAW.
27. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold AMS harmless from third-party claims arising from your unlawful misuse of the website, violation of these Terms, infringement of another party's rights, fraudulent activity, or unlawful use or importation of products. This provision does not apply where prohibited by consumer law.
28. Export Controls and Sanctions
Products, technical information, software, and services originating in the United States may be subject to U.S. export-control and sanctions laws. You agree not to purchase, export, re-export, transfer, or use products in violation of applicable United States trade laws or the laws of the destination country. AMS may decline transactions when necessary to comply with legal restrictions.
29. Force Majeure
AMS will not be responsible for delays or failures caused by events outside its reasonable control, including natural disasters, severe weather, war, terrorism, labor disruptions, government action, transportation interruptions, customs delays, cyberattacks, telecommunications failures, epidemics, manufacturer shortages, or supply-chain disruptions. This section does not eliminate statutory consumer remedies that cannot legally be waived.
30. Privacy

31. Changes to These Terms

32. Governing Law and Venue
Except where mandatory law provides otherwise, these Terms and disputes relating to them will be governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-laws principles. To the extent legally permitted, disputes may be brought in appropriate state or federal courts located in Dallas County, Texas.
International and U.S. consumers retain any mandatory rights and protections provided by the laws of their place of residence that cannot lawfully be waived by contract. Nothing in these Terms is intended to prevent a consumer from relying on mandatory local consumer-protection laws where those laws apply.
33. Severability
If any provision of these Terms is found unenforceable, unlawful, or invalid, that provision will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect.
34. No Waiver
Failure by AMS to enforce a provision of these Terms on one occasion does not waive the right to enforce that provision later.
35. Entire Agreement
These Terms, together with the Privacy Policy and applicable policies concerning shipping, returns, payment, promotions, Pro Points, warranties, and specific transactions, form the agreement governing website use and online purchases, except where separate signed agreements apply.
